Amcor and Berry Global have revealed that at their respective meetings, shareholders of both companies ‘overwhelmingly voted’ to approve the combination - originally announced in November 2024 - and satisfied the shareholder vote condition.

The merger agreement was initially announced last November, with the combined entity to be named ‘Amcor plc’ and Berry shareholders reportedly receiving a fixed exchange ratio of 7.25 Amcor shares for each Berry share held upon closing. The merger aims to strengthen positions in categories including healthcare, pet food, beauty and personal care and food service.

Apparently, more than 71% of Amcor’s outstanding shares were present or represented by proxy, and more than 99% of these shares were voted in favour of the relevant proposal. More than 83% of Berry’s outstanding shares were present or represented by proxy, and more than 98% of these shares were voted in favour of the relevant proposal.

With faster growth and $650 million of identified synergies, the combination is expected to drive significant near- and long-term value for all shareholders. Amcor and Berry will each file the final voting results with the US SEC on Form 8-K. The combination is expected to close in mid-calendar year 2025, subject to closing conditions.

In similar news, last year Wentus announced it had been fully integrated into Trioworld, with the merger anticipated to create a ‘powerful force’ in Europe’s flexible packaging sector. The original Trioworld specializes in flexible films for transport, industry, hygiene and healthcare, agriculture, and waste management, as well as a particular focus on the food sector in its consumer packaging.

Smurfit Kappa and WestRock also combined last year, with the transaction completed in July.
