Nestlé has agreed to divest its Vitamins, Minerals and Supplements (VMS) business – including packaging operations for its private-label products – to Yellow Wood Partners for $1.0 billion.

The scope of the transaction comprises seven of Nestlé’s established brands: Nature’s Bounty, Osteo Bi-Flex, Ester-C, Gard, Nuun, Puritan’s Pride and Sisu. It also covers the associated US private-label supplements businesses, including its dedicated manufacturing, packaging, warehousing, and distribution operations.

This ‘Holistic Health’ portfolio predominantly operates in the United States, with a presence in other countries such as Canada and China. In 2025, the business reportedly generated sales of $USD 1.2 billion.

The transaction is subject to applicable regulatory approvals and is expected to close by the first half of 2027.

“This is another important step in the strategic transformation of our portfolio,” said Nestlé CEO Philipp Navratil. “We are focusing our resources where we have the strongest competitive advantage.

“With Nestlé’s strong innovation and brand-building capabilities, we are well positioned for growth in the premium, science-led VMS space, where brands such as Solgar and Pure Encapsulations continue to perform strongly.

“At the same time, the category has evolved, and the mainstream VMS business requires a different approach under dedicated ownership.”

In other news, Nestlé and Platinum Equity have recently formed Peranel – a 50:50 joint venture focused exclusively on water and premium beverages such as S.Pellegrino and Nestlé Pure Life.

According to Navratil, Peranel will “drive [Nestlé’s] long-term growth ambitions by strengthening this unique portfolio of international and local brands”.

Elsewhere, Unilever has entered into an agreement to combine its Food business with McCormick & Company, forming a global portfolio with estimated revenues of $20 billion.

Separating Unilever Foods is set to help Unilever become a leading pureplay home and personal care (HPC) company, expecting €39 billion in revenues based on the fiscal year 2025.
